Most of what applies to a trading partnership applies also to a limited partnership (kommanditbolag) – with certain exceptions. The main difference is that in a limited partnership, there is always at least one partner with limited liability. If you are a limited partner, this means that the amount for which you can be made liable cannot exceed the amount of capital which you have invested in the enterprise. At least one partner must be a general partner (with unlimited liability), who can be made liable for the partnership's debts with the entire sum of his assets.

Protection of business name

If you register a limited partnership, your business name will be protected only in the county in which your business enterprise is registered.
